Vault-Sprout Terms of Service

What Vault-Sprout Is (and isn't)

Vault-Sprout provides tools to help you organize and understand your finances.

Vault-Sprout is not a bank, lender, broker, or financial advisor.

We do not provide financial, investment, tax, or legal advice. Insights and suggestions are informational only; you are responsible for your decisions.

Eligibility

You must be at least 18 (or the age of majority where you live) to use the Service.

Your Account

• Provide accurate information.
• Keep your credentials secure.
• Notify us promptly of unauthorized access or suspected compromise.

You are responsible for all activity under your account.

Your Content and Data

You own your User Content (budgets, categories, goals, notes, and related content).

You grant Vault-Sprout a limited, non-exclusive, worldwide license to host, store, back up, process, and display your User Content only to operate, secure, improve, and comply with legal obligations.

Vault-Sprout Intellectual Property

The Service (software, UI, logos, trademarks, technology) is owned by Vault-Sprout and its licensors. We grant a limited, non-transferable, revocable license to use the Service for personal, lawful use under these Terms. No copying, modifying, distributing, selling, reverse engineering, or extracting source code unless permitted by law.

Data Security + Breach Notification

We use reasonable safeguards (e.g., encryption in transit, access controls, monitoring). No system is 100% secure. If a breach occurs, we will investigate, contain, and notify affected users/regulators as required by law.

Third-Party Services (including bank connections)

Some features rely on third-party providers (auth, hosting, analytics, support, payments, bank connections).

Financial account connections (optional):

• Subject to the third-party provider's terms and privacy policy.
• Vault-Sprout is not responsible for provider services, data handling, outages, or aggregation accuracy.
• Data from aggregators can be delayed, incomplete, or inaccurate.

You can revoke access to connected accounts via the Service (if available) and/or through the provider's tools.

Acceptable Use

Do not use the Service for illegal activity, unauthorized access, probing, disruption, or malware. We may suspend or terminate if you create risk or violate these Terms.

Paid Plans, Trials, Billing, and Refunds

• Subscriptions renew automatically until canceled.
• Cancel anytime via settings (if available) or by contacting support; access continues through the current period.
• Prices/plan features may change with reasonable notice; changes apply no earlier than your next renewal.
• Refunds: unless required by law or stated at purchase, fees are non-refundable and not prorated.

Feedback

If you send suggestions or ideas, we can use them without restriction or compensation.

Termination + Data

You can stop using the Service anytime and request deletion (via tool, if provided, or email support@vault-sprout.com). We may suspend/terminate for violations or risk.

Exports may be available via self-serve tools or by request. On deletion, we remove or de-identify data subject to legal, security, and backup requirements.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

We disclaim implied warranties to the maximum extent permitted by law and do not guarantee uninterrupted or error-free service or accuracy of outputs.

Limitation of Liability

• No liability for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill.
• Total liability capped at the greater of $100 or the amount you paid in the 12 months before the claim.

Some jurisdictions may not allow all limitations.

Indemnification

You agree to defend, indemnify, and hold harmless Vault-Sprout for claims arising from your use, your content, or your breach of these Terms.

Dispute Resolution: Informal First

Contact support@vault-sprout.com to try to resolve disputes informally before formal claims. If unresolved after 30 days, claims may proceed per below.

Binding Arbitration + Class Action Waiver

Except for small claims or certain injunctive relief, disputes are resolved by binding arbitration, not court. Claims must be individual (no class/representative actions).

Arbitration administered by a recognized provider (e.g., AAA) under consumer rules; may be video/phone or in your county/state.

Opt-out: email support@vault-sprout.com within 30 days of accepting these Terms with subject "Arbitration Opt-Out," your name, account email, and a statement opting out.

Governing Law and Venue

Governed by Texas law (excluding conflicts rules). Where court is allowed, disputes are in state/federal courts in Texas, and you consent to jurisdiction there.

Force Majeure

No liability for delays/failures beyond reasonable control (e.g., acts of God, war, labor disputes, outages).

Assignment

You may not assign without consent. Vault-Sprout may assign (including via merger/acquisition/reorg/sale of assets).

Severability

If a provision is unenforceable, the rest remain in effect.

No Waiver

Not enforcing a provision now does not waive the right to enforce it later.

Changes to These Terms

We may update these Terms. Material changes will include reasonable notice (e.g., in-app or email). Continued use means you accept the updated Terms.

Entire Agreement

These Terms and the Privacy Policy are the entire agreement regarding the Service and supersede prior agreements on the same subject.
